It promotes ethical, compliant operations without undue burden, aligned with industry norms like UNGPs and OECD guidelines. Suppliers affirm commitment by signature or acceptance.

1. Introduction and Scope

Improzo Inc. (“Improzo”) relies on a global network of suppliers to advance healthcare innovation and patient outcomes. This Code applies to all suppliers, subcontractors, affiliates, and agents providing goods or services to Improzo worldwide, focusing on relevant operations. We prioritize collaborative, long-term partnerships built on transparency, mutual respect, and practical compliance with applicable laws.

2. Ethical Commitment and Accountability

Suppliers must operate with integrity, adhering to all laws, regulations, and contracts while maintaining internal policies for ethical conduct, risk monitoring, and accurate record-keeping. 3. Anti-Corruption

With zero tolerance for bribery, extortion, or improper influence, suppliers comply with key laws including the U.S. FCPA, UK Bribery Act, and OECD Anti-Bribery Convention. 5. Business Integrity

Especially in life sciences/pharma, suppliers commit to regulatory excellence via applicable standards including GMP, GCP, GLP, GDP, FDA/EMA guidelines, ICH harmonization, and supply chain safeguards (e.g., U.S. DSCSA, EU Falsified Medicines Directive). Maintain robust quality systems for product safety/efficacy, accurate labeling/marketing, pharmacovigilance, recalls, and anti-counterfeiting (e.g., serialization/tracking). Improzo supports patient safety through guidance and practical compliance, not overreach.

6. Conflicts of Interest

Identify and disclose promptly any actual or potential conflicts—e.g., family relationships with Improzo staff, ownership in competitors, or divided loyalties—that could affect objectivity. Use internal reviews, recusals, or third-party checks to manage them. This practice ensures transparent, impartial decisions strengthening our mutual partnerships.

7. Gifts, Entertainment, Hospitality, Gratuities, and Favors

Limit exchanges to modest, infrequent, lawful items (e.g., low-value branded promotional goods) with no influence intent; prohibit lavish gifts, cash equivalents, or excessive hospitality. 11. Business Continuity and Disaster Recovery
